摘要：
近年來，隨著我國市場經濟的發(fā)展，公司治理績效日益引起了人們的關注。無論是理論研究還是實踐經驗，都表明了良好的公司治理機制，對于經營績效有著巨大的促進作用，其能夠降低企業(yè)的融資成本與代理成本，促進公司內在價值的提升，而且也可以吸引長期穩(wěn)定的國際資本，并使資金在更大范圍內優(yōu)化配置，促進宏觀經濟的持續(xù)穩(wěn)定增長。在我國加入WTO之后，金融市場的逐漸開放，實現(xiàn)了人民幣在資本項目下的可自由兌換，國內金融市場也融入到國際市場當中，可以說，當前的國際競爭，就是各國上市公司之間的競爭，在一定程度上也就是公司治理水平的競爭。一個國家的證券市場如果不建立一套行之有效的公司治理體系，將會直接影響到投資者的信心和證券市場的融資功能。沒有良好的公司治理，我國的國有企業(yè)無論是采取公司化的辦法還是采取所有權結構多元化的辦法，都不會帶來真正的實效。
本論在國內廣大外學者研究成果的基礎上，以海南XZ橡膠公司為研究對象，分析了我國整個橡膠行業(yè)以及該公司的治理現(xiàn)狀，并分析了影響企業(yè)經營績效的因素，并根據(jù)海南XZ橡膠公司治理績效中存在的實際問題，有針對性地提出了相關保障對策。

Joins WTO after our country, money market's gradual opening, realized the Renminbi to be possible to exchange freely under the capital project, the home money market also integrated to the international market, might say, the current international competition, was between various countries To be listed's competition, to a certain extent was also the company governs the level the competition. If a country's stock market does not establish set of effective companies to govern the system, the immediate influence to investor's confidence and the stock market financing function. The good company has not governed, regardless of our country's State-owned business is adopts the corporation the means to adopt the property rights structure multiplication the means that will not bring the true actual effect.
This discusses in the domestic general outside scholar research results foundation, take the Hainan XZ Rubber Company as the object of study, has analyzed our country entire rubber profession as well as this company's government present situation, and analyzed the influence enterprise to manage the achievements the factor, and governed the actual problem which according to the Hainan XZ Rubber Company in the achievements existed, proposed the related safeguard countermeasure target-oriented.
