摘 要
公司治理結構是規(guī)范與法人財產(chǎn)相關的各方的責、權、利的制度安排和組織結構形態(tài)，作為現(xiàn)代企業(yè)制度的核心，其本質是剩余所有權和控制權的合理分配，以求得利益相關者的平等參與。財務管理不僅是公司管理系統(tǒng)中的核心子系統(tǒng)，同時還是公司治理結構框架中的一個重要環(huán)節(jié)，不同的公司治理結構對公司的財務管理體制各個方面產(chǎn)生了十分重大的影響。本文在分析公司治理結構的產(chǎn)生、發(fā)展，內(nèi)涵框架及其重要性以及公司財務管理體制的含義,層次的基礎上,并結合這二者的關系，對公司治理結構在財務管理體制，主要是指財務管理的目標、模式、財務會計報告信息以及財務管理效率和成果等方面產(chǎn)生的影響進行了全面深入的研究:首先，財務管理目標應隨公司治理結構邏輯而變化。是利潤最大化？股東財富最大化？還是企業(yè)價值最大化？其次，不同的治理結構也需要建立不同的財務管理模式來與之相適應，財權如何分配？有誰來主導？再次,在不同的公司治理結構下,財務會計信息的準確性也各不相同;而財務管理的效率和成果也與公司治理結構息息相關。文章最后討論了我國公司治理結構的現(xiàn)狀及其原因，分析其對我國公司財務管理體制可能造成的影響，進而提出一些解決的方案和措施，以尋找一個適合我國現(xiàn)狀的合理的治理構架，并由此產(chǎn)生一個有效的財務管理體制。

ABSTRACT
The corporate governance structure is a system arrangement and organize construction appearance, which norm responsibility, power, benefit that related everyone in corporative property , As the core of modern business enterprise institutional system, its essence is the rational disposal of surplus account and controlling right. In order to seek benefit related’s equal participate. The corporate finance management which considered to be an important link of corporate governance structure framework is influenced by corporate governance structure importantly in every respects. This paper analyzes the creation, development, connotation, framework and the importance of The corporate governance structure, combines the finance management system’s connotation,construction and the two’s relation, analyzes comprehensively the effect that the corporate governance structure have on the finance management system which contains the finance management’s targets, modes, reports, informations efficiency, results and so on. first, the target of finance management should change with the corporate governance structure’s logic.Is it the profits maximize? The shareholder wealth maximize?Or the business enterprise value maximize? Next, different corporate governance structure also need to build up the different finance management mode to go with it , how does the wealth power assign?Who come predominant?Again, under the different corporate governance structure, the accuracy of the finance accountancy's information is also each not same; and the efficiency and results of the finance management also vitally related with the corporate governance structure .At last,this paper discusses the present condition of our country’s corporate governance structure and its reasons , analyzes the influence it may have to our company finance manage system , then puts forward some projects and measure to solve these problems, And these place foundation for seeking for the corporate governance structure to be fit for our country’s current situation and there out producing an efficiency financial management system.
