摘要
破產(chǎn)重整制度主要目的在于通過一系列特殊法律手段和程序的運用，實現(xiàn)對出現(xiàn)破產(chǎn)原因或有出現(xiàn)破產(chǎn)原因危險的企業(yè)的維持和未來事業(yè)的發(fā)展，促進(jìn)企業(yè)復(fù)蘇，進(jìn)而清理債務(wù)，保護投資者、債權(quán)人的利益，保證交易安全，維護社會經(jīng)濟秩序穩(wěn)定。研究破產(chǎn)重整制度價值目標(biāo)，反映破產(chǎn)重整制度所追求的應(yīng)然狀態(tài)，有助破產(chǎn)重整制度的理性運作，也有助實現(xiàn)破產(chǎn)重整體系的內(nèi)在和諧統(tǒng)一。價值一般可理解為客體滿足主體需要的作用或積極意義。在法理學(xué)中，“法的價值”這一概念主要在三種含義上使用，可分別稱為法的“目的性價值”、“評價標(biāo)準(zhǔn)”和“形式價值” 借助于此種分類，我們大體可以把重整制度的價值序位界分為兩類：“目的性價值”與“工具性價值”。通過分析研究重整制度的價值序位以及多元化價值取向，結(jié)合破產(chǎn)重整制度的涵義、法價值屬性以及利益平衡機制，得出破產(chǎn)重整制度的價值序位：以秩序、公正、自由為工具價值，進(jìn)而實現(xiàn)社會整體效益這一終極價值目標(biāo)。本文以法律制度的價值為研究視角，通過對重整制度的法價值屬性，主要是價值序位的探討，積累一定的破產(chǎn)重整制度法價值方面的理論基礎(chǔ)，為破產(chǎn)重整制度在我國的構(gòu)建與發(fā)展提供一定的理論依據(jù)和建議。

Value Sequence of the Corporate reorganization
Abstract
The main purpose of Corporate reorganization is to restructure the system through a series of special legal measures and procedures,to manage and develop the enterprises which be in emergence of bankruption or dangerous maintenance,to encourage enterprises to recovery. Corporate reorganization is an effective way of clearing the debt ,the protection of investors and the interests of creditors,to ensure transactions security and maintain social and economic order and stability . Further more , the study Corporate reorganization system is benefit to realize it and operate the organization after restructuring . The value implicated some actions or positive significance that the Object meet the demands of subject. In jurisprudence, " the concept of the value " implicate majorly on the following three pieces: "purposing value", "evaluation standards " and "form of value" .Accordingly, we generally can divide it into two categories: "purposing value" or “Practical value”. Through analysis the sequence value of Corporate reorganization and all kinds of effections,we got the conclusion:the purpose of corporate reorganization is the order,justice, freedom and a whole community benefits –last but the most important.The writings based on the value of the legal mainly research the legal value in Corporate reorganization.We will accumulate more theoretical knowledge for construction and development of corporate reorganization.
