[摘 要] 上世紀(jì)90年代以來(lái)，企業(yè)并購(gòu)風(fēng)靡全球，其中跨國(guó)公司對(duì)外投資的主要方式就是跨國(guó)并購(gòu)。但由于種種因素，尤其是政治因素的限制，在OFDI利用中跨國(guó)并購(gòu)所占份額不值一提。自2011年中國(guó)加入世貿(mào)組織，隨著我國(guó)市場(chǎng)的進(jìn)一步打開(kāi)，大量跨國(guó)公司有計(jì)劃地進(jìn)軍中國(guó)市場(chǎng)，在這種背景下，中國(guó)企業(yè)在迎來(lái)機(jī)遇的同時(shí)，也面臨空前的挑戰(zhàn)。面對(duì)這種形式，怎樣促進(jìn)我國(guó)在加入WTO后促進(jìn)產(chǎn)業(yè)改革，實(shí)行行業(yè)變革來(lái)迎接機(jī)遇與挑戰(zhàn)，已經(jīng)成為世界所關(guān)注的重點(diǎn)，這是一項(xiàng)全新的課題，需要探索與發(fā)展。自中國(guó)實(shí)行改革開(kāi)放，全面開(kāi)拓中國(guó)對(duì)外經(jīng)濟(jì)貿(mào)易，中國(guó)經(jīng)濟(jì)與日俱增，取得傲人成績(jī)，但是相較于某些發(fā)達(dá)國(guó)家，則存在較大的差距。在這種大背景下，外國(guó)汽車(chē)行業(yè)作為經(jīng)濟(jì)發(fā)展的巨頭，行業(yè)出現(xiàn)了產(chǎn)能過(guò)剩局面。外國(guó)汽車(chē)商紛紛將目光投向發(fā)展中國(guó)家，以緩解這種飽和局面，逐漸推動(dòng)了汽車(chē)行業(yè)國(guó)際化，這種局面也推動(dòng)了我國(guó)汽車(chē)行業(yè)的并購(gòu)重組。汽車(chē)產(chǎn)業(yè)的跨國(guó)并購(gòu)趨勢(shì)逐漸顯現(xiàn)出來(lái)。
本文通過(guò)文獻(xiàn)分析，列舉了相關(guān)經(jīng)濟(jì)學(xué)家的研究成果。在分析我國(guó)汽車(chē)行業(yè)的發(fā)展態(tài)勢(shì)、現(xiàn)狀以及經(jīng)濟(jì)理論動(dòng)態(tài)的前提下，剖析我國(guó)汽車(chē)行業(yè)并購(gòu)與企業(yè)創(chuàng)新能力發(fā)展的關(guān)系，并提出相關(guān)建議。

Impact on Cross-border Mergers and Acquisitions 
Technological Innovation Capability of China's Automobile Industry
[ABSTRACTS] Since the 1990s, with the growing wave of global mergers and acquisitions，Cross-border mergers and acquisitions have become the mainstream way of Foreign Direct Investment，however, due to such factors as policy constraints, the use of cross-border mergers and acquisitions in China negligible share of FDI. Since China's accession into WTO, domestic enterprises will face unprecedented pressures and opportunities, a large number of multinational companies from the global strategic departure, being a planned acquisition of Chinese enterprises, in response to this trend, how Chinese enterprises should seize the opportunity? The way is to tide and promote cross-border mergers and acquisitions by state-owned enterprise reform, further ourself, becoming a new topic to be addressed letter. Since the reform and opening up has yielded greater development, therefore, there is a big gap, comparing with developed countries. In recent years, World Automotive is at a standstill, serious excess capacity, traditional market is becoming saturated, international automobile giants have sights on developing countries with extensive market, the growing international trend of the automotive industry is growing. In the pace of the global auto industry to accelerate the process of restructuring, mergers and acquisitions in China's automotive industry, continued to accelerate in recent years. Especially since the WTO, cross-border M & A boom began surging domestic auto industry, as the state of foreign investment in the domestic automotive sector to relax restrictions, foreign capital into the domestic auto industry will be even greater pace. Automotive industry will no doubt become an important area of transnational auto companies to implement the acquisition strategy.
Through literature analysis, this article summarizes and reviews the eva luation for independent innovation and innovation ability of theorists and the research on our own brand automobile industry innovation capability. On the basis of the development process, status and cutting-edge theories of dynamic and effective, analysis of cross-border mergers and acquisitions auto industry and intrinsical link with enterprise innovation ability, there are some suggestions for the development of China's automobile industry entrepreneurs by the author.
