【內(nèi)容摘要】證券市場(chǎng)是資本與信息交融的資訊市場(chǎng),投資者有權(quán)利用所知信息作出投資判斷。但內(nèi)幕交易人利用內(nèi)幕信息進(jìn)行交易,則會(huì)擾亂證券市場(chǎng)秩序, 損壞了公共投資者的權(quán)益，使投資者覺(jué)得市場(chǎng)不公,遠(yuǎn)離市場(chǎng),從而使證券市場(chǎng)融通資金的功能和本意受挫.我國(guó)證券市場(chǎng)在摸索中走過(guò)了十幾年,也制定出了許多法規(guī),但從內(nèi)幕交易制度的國(guó)際比較看,我國(guó)證券市場(chǎng)與西方發(fā)達(dá)國(guó)家仍存在一定差距。因此,想要更好的規(guī)范我國(guó)的證券市場(chǎng)交易秩序,有必要借鑒西方成熟市場(chǎng)國(guó)家的內(nèi)幕交易制度的經(jīng)驗(yàn),進(jìn)一步完善我國(guó)相關(guān)的法律法規(guī)。
本文通過(guò)對(duì)美、德兩個(gè)國(guó)家典型的內(nèi)幕交易制度與我國(guó)當(dāng)前現(xiàn)狀進(jìn)行分析比較,希望以他山之玉照見(jiàn)自身,對(duì)我國(guó)股市中內(nèi)幕交易活動(dòng)的規(guī)范向前發(fā)展能起到一些促進(jìn)作用。

Abstact: securities business is the information market where the capital and message mingle ,the investor moneyman have a right to use the message their know to form a judgement ,but insider dealing use inside information will disturb securities business system, mangle the benefit of commonality investor.,make the investor. Far away form the market unfair, consequently make the function and original idea of securities business frustration ,our securities business go across over ten years.in explore, set down many rule of law ,but compare to international, our securities business is difference with developed country, therefore, Be desirous to criterion our securities business system well.,It’s necessary to use for reference the mature experience of west developed country,more consummate our laws and regulations This paper through compare the securities business of America and Germany to our currently Situation, expect use their advantage to promote our securities business criterion forward.develop
