The Non-Right Action of Disposition

　　——with an analysis of Article 51of the Contract Law

　　「內(nèi)容提要」作為“法學(xué)上的精靈”，無權(quán)處分的理論魅力在于其與法律行為、合同效力、不當?shù)美?、善意取得等制度的關(guān)聯(lián)。本文從開放的視角，檢討了《合同法》第51條對無權(quán)處分的規(guī)定，并積極探索對其制度完善之路。

　　「英文摘要」As“spirit of the law，”the theoretical power of the non-right action of disposition lies in its close associationwith civil juristic acts，the efficiency of the contract，theillegal profits and bona fide gains.This article in an open－ended dimension discusses about the non -right action ofdisposition regulated in Article 51 of the Contract Law，whileproducing the author‘s personal viewpoint of perfecting thelaw.

　　我國《合同法》第51條對因無權(quán)處分而訂立的合同作出了規(guī)范，但在具體設(shè)計這一規(guī)范時，《合同法》的數(shù)個草案與《合同法》的最后規(guī)定并不完全統(tǒng)一，學(xué)者意見更是眾說紛紜。鑒于無權(quán)處分行為的復(fù)雜性，不能將《合同法》第51條作為蓋棺論定的結(jié)論，而應(yīng)當遵循其確立的基本精神，積極探索對其制度進行完善之路。
