摘    要

　　　上市公司在融資行為方面存在著非理性化的表現(xiàn)，那就是公司的過(guò)度融資。由于股票發(fā)行價(jià)格偏高，資金超募集的現(xiàn)象愈演愈烈。上市公司的這種過(guò)度融資行為則相當(dāng)于殺雞取卵，對(duì)證券市場(chǎng)、上市公司和投資者將造成很不利的影響：過(guò)度融資行為會(huì)導(dǎo)致資源的浪費(fèi)，損害股票市場(chǎng)的資源優(yōu)化配置功能；過(guò)度融資行為造成公司部分資金閑置與被挪用，降低了反映公司盈利能力的指標(biāo)，并導(dǎo)致公司經(jīng)營(yíng)業(yè)績(jī)滑坡和資源配置低效；過(guò)度融資行為造成大量資金閑置，違背了投資者初始意愿，嚴(yán)重?fù)p害了債權(quán)人和小股東的利益。造成不利的原因有很多，包括上市公司理念缺陷造成過(guò)度融資，證券市場(chǎng)監(jiān)管制度缺陷造成過(guò)度融資，中介機(jī)構(gòu)功能缺陷造成過(guò)度融資以及投資者行為方式助長(zhǎng)過(guò)度融資等。

Listed Companies on GEM Excessive Financing Problem to Discuss

Abstract

　　　Listed company financing behavior there exists irrational performance, that is the excessive financing. Because the stock price is on the high side, the growing phenomenon of super funds raising. Listed company 's excessive financing behavior is equivalent to that, on the securities market, listed companies and investors will cause adverse effects: excessive financing behavior will lead to a waste of resources, damage to the stock market resource allocation function; excessive financing behavior caused part of the company's funds idle and misappropriated, reduce reflect the profitability of the company index, and leads to the company's operating performance and resource allocation efficiency; excessive financing behavior resulted in a large number of idle funds, against the initial intention of investors, serious damage to the interests of shareholders and creditors. Adverse for many reasons, including the concept of defect caused by excessive financing of listed companies, securities market supervision system defects caused by excessive financing, intermediary function defect caused by excessive financing and investors behavior encourage excessive financing.
